Scope and Agreement to Terms

By accessing or using any part of the Dada Platform, including registering an account, posting content, purchasing services, or browsing available features, you confirm that you have read, understood, and agreed to comply with these Terms.

You also agree to our Privacy Policy and any additional guidelines or feature-specific rules that may apply to your use of certain tools, functions, or promotional campaigns within the Platform.

Dada reserves the right to update these Terms at its discretion. Changes will be communicated via app notifications or on our website, and continued use of the Platform after such updates signifies your acceptance of the revised Terms.

Age Eligibility and Account Responsibility

The Dada Platform is not intended for users under the age of 18. By accessing or using the Platform, you confirm that you:

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. Any actions taken using your credentials will be treated as your own, and you assume full responsibility for their consequences.

We do not provide services to individuals or entities located in jurisdictions subject to international sanctions, including but not limited to Cuba, Iran, North Korea, Syria, Sudan, and Crimea. If you are located in one of these regions, you are not permitted to access or use the Dada Platform.

2. Eligibility

To ensure the Dada Platform is used safely and lawfully, all users must meet certain eligibility standards and agree to uphold responsible conduct while engaging with our services.

Age Requirements and Legal Capacity

You must be at least 18 years of age, or the legal age of digital consent in your jurisdiction, to access or use any part of the Dada Services. By registering an account or using Dada, you affirm that you meet the minimum age requirement and are fully capable of entering into legally binding agreements.

If you are below the minimum age threshold, do not attempt to register or use the platform. We reserve the right to suspend or remove any accounts found to be in violation of this requirement.

3. User Commitments

Accurate Account Information

When creating or updating your Dada profile, you agree to provide only truthful, complete, and current information. It is your responsibility to maintain the accuracy of the data associated with your account at all times.

Using false identities, impersonating others, or registering on behalf of someone else is strictly prohibited and may lead to immediate account termination.

Account Responsibility and Security

You are solely responsible for maintaining the confidentiality of your login credentials, and for all activity that occurs under your Dada account. Please take appropriate steps to safeguard your username and password.

If you suspect unauthorized access to your account or believe your credentials have been compromised, contact our support team immediately via service@dada.fans.

Restricted Regions and Compliance Limits

To comply with international trade restrictions and sanctions, Dada does not permit access to its services by individuals or entities located in, or ordinarily resident in, certain restricted regions. These include but are not limited to: Cuba, Iran, North Korea, Syria, Sudan, and the Crimea region.

By using the Dada Platform, you confirm that you are not located in or affiliated with any of these restricted jurisdictions, and that your use of the Services does not violate any applicable export control laws or sanctions regulations.

4. Overview of Dada Services

Dada is designed as an immersive, community-powered platform that supports creative expression, live interaction, and content engagement across borders. This section provides a high-level summary of what the Dada Services offer.

Core Functions and Interactive Features

At its core, Dada enables users to:

• Launch live broadcasts and share real-time content

• Interact with viewers through chats, comments, and reactions

• Send and receive digital items like virtual gifts and effects

• Customize profiles and manage fan engagement

These tools foster a dynamic environment where users can participate in real-time conversations, showcase their talent, and connect with diverse audiences.

Content Discovery and Personalization

The Dada platform includes intelligent recommendation systems that help users explore content tailored to their interests, habits, and preferences. Features such as:

• Trending channels

• Personalized creator feeds

• Algorithmically ranked clips

…allow for easy access to the most relevant creators, moments, and events—regardless of time zone or region.

We also display sponsored or promotional content from time to time. These are clearly marked and are designed to align with your usage patterns, subject to your advertising settings and applicable legal requirements.

5.User Generated Content

As part of the Dada experience, users are encouraged to participate by contributing content that reflects their creativity, personality, and voice. This section explains what kinds of content are allowed, how we maintain platform integrity, and what happens when community rules are violated.

What You Can Share (User-Generated Content)

Dada provides a flexible space for you to create and interact. As a user, you may upload or broadcast:

• Livestreams

• Pre-recorded videos and clips

• Comments, chat messages, and reactions

• Audio files, music overlays, or sound effects

• Visual elements like images, stickers, and emojis

• Other media created using in-app tools or external sources

You may also incorporate Dada-provided interactive elements (like digital filters or virtual gifts) into your content. Please be aware that all content you post represents your personal views and not those of Dada or its affiliates.

Community Guidelines and Restrictions

To keep Dada safe and welcoming, users must follow our [Community Standards] and refrain from uploading or sharing:

• Illegal, abusive, hateful, or harassing content

• Misleading or false information intended to deceive

• Content that violates privacy, intellectual property, or publicity rights

• Sexual or explicit content, especially that involving minors

• Spam, phishing, or malicious software

• Any material that glorifies violence or self-harm

Violations of these guidelines may result in content removal, feature restrictions, or account suspension.

Content Review and Enforcement Mechanisms

We take the safety of our platform seriously. Dada uses a combination of:

• Automated tools to detect prohibited material

• Human moderators who review flagged content

• Community reporting tools available to all users

When inappropriate content is identified, we may:

• Remove the content from the platform

• Temporarily or permanently limit the user’s functionality

• Suspend or terminate user accounts in severe or repeated cases

• Escalate the matter to appropriate authorities if required

We reserve the right to take these actions without prior notice to preserve the integrity of the community.

6. Managing Your Dada Account

To access the features of Dada, you’ll need to create a personal account. This section outlines how account access works, what you're responsible for, and how we manage account status changes.

Signing Up and Logging In

When creating a Dada account, you’ll be asked to provide certain details such as a username, password, and possibly additional contact information. You are fully responsible for safeguarding your login credentials and ensuring that any actions taken through your account are authorized and accurate. We encourage you to use a strong password and to keep it confidential.

Please make sure the information you submit during registration and throughout your use of the platform is accurate, up-to-date, and truthful.

Third-Party Login and Linking

Dada may allow you to register or sign in using third-party services like Google, Apple, or Facebook. By doing so, you agree that Dada may access relevant account information based on your permissions, and that your interactions may be subject to the privacy policies of those third-party platforms.

7.Account Suspension and Termination

We reserve the right to suspend, restrict, or permanently disable your account if:

• You violate these Terms of Service or our Community Guidelines

• Your account is involved in harmful or illegal activity

• Your actions jeopardize the safety or integrity of the platform

Decisions regarding account status are made at Dada’s sole discretion, and we are not obligated to notify you in advance in such cases.

Account Deletion Requests

If you decide to stop using Dada, you may request to delete your account at any time. You can do this through the in-app settings or by contacting our team at service@dada.fans.

Please note:

• Once your account is deleted, it cannot be restored

• Any content or data you’ve uploaded may no longer be accessible

• We may retain certain information as required by law or for legitimate operational purposes (see our Privacy Policy for more details)

8. Privacy and Data Use

We respect your privacy and are committed to handling your personal information responsibly.

How We Collect and Use Your Information

When you use Dada Services, certain data—such as your registration details, activity on the platform, or device metadata—may be collected to support platform functionality, personalize your experience, ensure security, and comply with legal obligations. This data may be collected directly from you or through automated means (e.g., cookies or analytics tools).

9. Proper Use of Dada

Dada is a vibrant platform built on mutual respect, trust, and community standards. To maintain a safe and welcoming space, we ask all users to follow these behavioral expectations when using any part of the Dada Services.

What Is and Isn’t Allowed

Your use of Dada must comply with applicable laws, platform rules, and ethical guidelines. You agree not to use the platform to:

• Publish, share, or store material that is knowingly false, misleading, illegal, defamatory, vulgar, pornographic, harassing, or otherwise inappropriate;

• Engage in speech or actions that infringe on others’ rights to privacy, publicity, or expression;

• Post content that promotes hatred, violence, discrimination, or any form of abuse.

Prohibited Behaviors

Dada strictly prohibits behaviors that compromise the integrity of the platform or threaten other users, including:

• Impersonation or False Claims: Pretending to be someone else or misrepresenting your affiliation with a person or entity;

• Account Misuse: Gaining unauthorized access to another user’s account or information;

• Data Misappropriation: Collecting or attempting to collect personal data from other users without clear consent;

• Tampering with Security: Disabling, bypassing, or interfering with platform safety features or copyright notices;

• Source Code Violations: Decompiling, reverse-engineering, or modifying the Dada platform or its components beyond what’s allowed under local law;

• Malware Distribution: Introducing viruses, spyware, or other harmful code that disrupts normal platform operation;

• Traffic Manipulation: Spoofing identifiers to hide the source of user activity or content.

System Integrity and User Safety Obligations

To protect our users and ensure a reliable platform, Dada reserves the right to take action in response to violations of these rules, including:

• Throttling access or limiting feature use;

• Removing harmful content without prior notice;

• Suspending or permanently banning accounts that endanger platform safety;

• Referring matters to law enforcement when legally required or ethically necessary.

You understand that you are solely responsible for your actions and content on Dada. The platform does not guarantee that all objectionable content will be pre-screened. Use of Dada is at your own discretion and risk.

We make no endorsement or warranty regarding user-generated content, and we reserve the right to take down content or restrict access at any time for safety, legal compliance, or community health reasons. You are encouraged to back up any important material you submit, as we are not responsible for content loss due to moderation, deletion, or enforcement actions.

10. Digital Items and In-App Purchases

Dada provides users with access to virtual content and in-app digital features designed to enhance the interactive experience. This includes digital coins (“Credits”), virtual gifts, special items, or other in-app assets (“Virtual Goods”).

Buying Virtual Goods

You must be at least 18 years old, or the age of legal capacity in your jurisdiction, to purchase or redeem any Virtual Goods on the Dada platform. By making a purchase, you agree that:

• Pricing will be clearly displayed at checkout in the currency available to you.

• All purchases will be processed through authorized payment systems, and may be subject to exchange rates, transaction fees, or platform commissions, depending on your provider.

Upon successful payment, your account will be credited with the corresponding amount of Credits, which can then be used to send virtual Gifts, unlock special features, or participate in platform activities.

Usage, Validity, and Refund Policy

All Virtual Goods are limited to use within the Dada ecosystem. They cannot be:

• Exchanged for cash or any legal tender;

• Traded or transferred between accounts;

• Redeemed outside of Dada’s platform;

• Used in conjunction with discounts or third-party promotions, unless explicitly allowed.

Once a transaction is completed, it is non-refundable and non-reversible unless required by law. Dada reserves the right to restrict or revoke access to Virtual Goods if misuse, fraud, or account violations are detected.

Monetization and Withdrawals (if applicable)

Where permitted, creators or users who earn Credits through gifting or other monetized interactions may be eligible to convert part of their earnings into withdrawable rewards, subject to:

• Completion of identity verification and local compliance requirements;

• Minimum withdrawal thresholds;

• Payment provider terms, processing fees, and currency exchange limitations;

• Dada’s review for fraud prevention or policy compliance.

Please note that any virtual item with monetary potential must be earned through authorized means and used in accordance with Dada’s community standards. Abuse of monetization systems may result in forfeiture of earnings and account restrictions.

11. Platform Rules and Enforcement

To foster a respectful and trustworthy environment, Dada enforces a comprehensive set of content standards. By accessing or using Dada Services, you agree not to upload, share, or engage in any content or behavior that violates the following categories, which are strictly prohibited:

Inappropriate or Harmful Content Includes:

1 Unlawful Acts – Content that promotes or facilitates illegal behavior, such as violence, terrorism, drug trafficking, human trafficking, or organized crime.

2 Discriminatory Speech – Material that insults, targets, or demeans individuals or groups based on race, ethnicity, nationality, religion, gender, disability, sexual orientation, or similar protected characteristics.

3 Harassment or Threats – Any content that bullies, threatens, stalks, or harasses others, including personal attacks, doxing, and cyberbullying.

4 Exploitation of Minors (CSAM) – Zero tolerance for any media involving child sexual abuse or endangerment of minors. Such content will be immediately removed and reported to appropriate authorities.

5 Incitement to Violence – Posts or videos that glorify or incite physical harm toward any individual or group.

6 Copyright and Trademark Violations – Unauthorized use or sharing of copyrighted works, pirated streams, or materials that infringe on others' intellectual property rights.

7 Misinformation – Spreading content that is clearly false or misleading, especially when related to public health, safety, or emergencies.

8 Malicious or Deceptive Activity – Distribution of spam, phishing links, malware, or other forms of digital abuse.

9 Self-Harm or Suicide Promotion – Any encouragement, romanticization, or depiction of suicide, self-injury, or eating disorders.

Reporting Tools and Moderation Flow

We employ a combination of automated detection, user flagging tools, and trained moderation teams to identify and act on content that violates our policies. Our tools and workflows include:

• Real-time flagging systems available on every piece of content

• AI-based systems that scan for high-risk terms or behavior patterns

• Moderator review queues for reported content

• Temporary and permanent enforcement actions depending on severity

If you notice problematic content, we encourage you to use the in-app report feature to notify our moderation team. Reports are confidential and reviewed promptly.

What Happens When Rules Are Broken

Depending on the nature and frequency of violations, Dada reserves the right to:

• Remove or restrict access to specific content or features

• Temporarily suspend or permanently disable user accounts

• Revoke monetization access for offending creators

• Refer serious violations to law enforcement or appropriate authorities

• Retain logs or evidence for compliance or legal purposes

You understand that Dada cannot proactively detect every violation, and we do not guarantee real-time enforcement. However, we are committed to taking reasonable steps to uphold platform integrity and protect user safety.

Continued access to Dada Services is contingent on following these rules and our Community Guidelines, which may be updated from time to time.

12. Payment Handling

Dada supports various secure payment options to facilitate your purchases within the app. These may include major credit cards, select debit cards, and other regional or global payment methods introduced from time to time. All payments are processed in accordance with the terms set forth by the respective payment providers.

By initiating a transaction on Dada Services, you authorize Dada or our designated payment processors to charge the specified payment method for the total amount displayed at checkout. You are responsible for ensuring that all billing details you provide are accurate, current, and authorized for use.

To comply with international regulations and prevent fraud, our payment service partners may ask you to provide identification or additional personal information, such as your full name, billing address, date of birth, or a valid government-issued ID. These third-party processors may contact you directly if they encounter issues while verifying or completing a transaction.

If your transaction fails—for example, due to insufficient funds, card restrictions, or incorrect details—we recommend checking your payment information and trying again. If the issue persists, please contact our support team at service@dada.fans for assistance.

All transactions are subject to local laws and the policies of the payment gateway used. Refund eligibility, if any, will be handled according to the Dada Refund Policy (where available) or applicable consumer protection laws.

13. Ownership and Intellectual Property

All visual designs, text, logos, videos, audio, code, and other materials made available through Dada Services (collectively, “Platform Content”) are owned or licensed by Dada Technology Co., Limited. and are protected under applicable intellectual property laws, including copyright, trademark, trade dress, and related rights. These materials may not be copied, altered, or reused in any way not explicitly permitted by Dada.

Nothing in this Agreement grants you ownership of any intellectual property rights in the Platform Content, and no part of the Dada Services should be interpreted as transferring or assigning such rights to you, whether by implication or otherwise.

When you upload, post, or stream any content via the Dada platform, you retain ownership of your original work. However, by making such content available on areas of the platform that are public or visible to others, you agree to grant Dada and its affiliates a worldwide, royalty-free, irrevocable, perpetual, transferable, and non-exclusive license to use, reproduce, adapt, modify, publish, translate, distribute, display, and create derivative works based on your content. This includes use for promotion, platform functionality, and any other purpose related to the delivery of Dada Services.

This license allows us to display and distribute your content across our services, and may also include sublicensing to partners or service providers who assist in delivering our offerings. You acknowledge that this license continues even if your content is removed or your account is terminated, to the extent necessary for backup, legal, or contractual purposes.

14.Protection of Minors

Dada takes the protection of minors seriously. The Platform is not directed toward individuals under the age of 18, and we do not knowingly collect or solicit any personal information from users who are minors under applicable law.If we discover or receive credible information that an account belongs to a user under the minimum required age, we reserve the right to restrict, suspend, or permanently terminate the account without prior notice.Parents and legal guardians are encouraged to monitor the online activities of minors under their supervision. If you believe that a child under 18 may have provided us with personal data, please contact us at service@dada.fans so that we can promptly delete the information and take appropriate action.We also prohibit the sharing of any content that exploits or endangers minors. This includes, but is not limited to, child sexual abuse material (CSAM), suggestive depictions, or any form of grooming behavior. Such violations will result in immediate removal of content, account termination, and may be reported to law enforcement where required.

15. Termination of Access

We reserve the right to suspend, limit, or permanently revoke your ability to use Dada Services at our sole discretion, with or without prior notice, if we determine that:

• You have violated these Terms of Service, our Community Guidelines, or any applicable laws or regulations;

• Your account has been used in a manner that is fraudulent, abusive, or disruptive to the platform;

• Continued service delivery is not feasible due to operational, legal, or technical constraints.

In such cases, we may block your access, disable your account, restrict features, or withhold access to any digital assets or paid features linked to your profile.

If you are dissatisfied with any part of the Dada platform, your only remedy is to discontinue your use and request account deletion. We are under no obligation to maintain your access or preserve content once your rights to use the Services have been terminated.

16. Disclaimers and Limitations

Dada Services are provided to you on an “as-is” and “as-available” basis. We make no warranties—explicit or implied—regarding the performance, reliability, or availability of any features on the platform.

We do not promise that the Dada Services will meet your expectations, operate continuously without interruptions, or remain error-free, timely, or fully secure. You use the platform at your own risk and accept full responsibility for any outcomes arising from your activity on Dada.

Content accessed via third-party links or embedded elements does not fall under our control. We are not liable for the accuracy, appropriateness, or legality of external websites, applications, or services that you may access through the Dada platform. Interaction with any such third-party content is done entirely at your discretion.

We shall not be held accountable for service disruptions or data loss caused by events beyond our reasonable control (e.g., natural disasters, government actions, network outages, or infrastructure failures). While we will make reasonable efforts to mitigate such disruptions, we are not liable for any resulting damages, whether direct or indirect.

17. Governing Law and Dispute Resolution

This Agreement shall be governed by and interpreted in accordance with the laws of Singapore, excluding any conflict of law provisions. Any disputes, controversies, or claims arising from or related to this Agreement, including any questions regarding its existence, validity, or termination, shall be submitted to binding arbitration under the administration of the Singapore International Arbitration Centre (SIAC). The arbitration shall follow the SIAC rules in effect at the time of the proceeding. All arbitration proceedings will be conducted in English, and the final award rendered shall be binding on both parties.

18. Requests and Legal Inquiries

If we receive formal legal requests, such as subpoenas, court orders, or governmental investigations, we will respond as required under applicable laws and regulations. All such inquiries must be properly directed to Dada Technology Co., Limited at our designated address or legal email contact. We reserve the right to assess and verify the legitimacy and scope of any request before responding and will take reasonable steps to protect the privacy and rights of our users wherever possible under the law.

19. Policy Updates and Amendments

We may revise or update this Agreement from time to time in response to changes in our operations, regulatory requirements, or platform features. Any such changes will be reflected by updating the “Effective Date” at the top of this Agreement. In the event of material modifications, we may notify you through in-app alerts, email, or other visible means. Your continued use of the Dada Services following any amendments constitutes your acceptance of the updated terms. If you do not agree with the changes, you should discontinue use of the Services and may contact us with any questions or concerns.

20. Miscellaneous Provisions

This Agreement, together with our Privacy Policy and any additional guidelines or policies we may publish, constitutes the entire understanding between you and Dada regarding the use of the Services. If any provision of this Agreement is held to be unlawful, void, or unenforceable for any reason, the remaining provisions shall remain valid and enforceable. Headings in this document are included for reference only and shall not affect the interpretation of any clause.
